Warranty:
Although careful effort has been made to provide this Program free of "bugs",
there is no warranty or guarantee conveyed by the author/copyright holder
of this script and program, written or implied. By obtaining, installing, and
using this program, you agree and understand that the author and copyright
holder are not responsible for any damages caused under any conditions due to
the malfunction of the script(s) on your server or otherwise. By downloading
and installing this perl program you agree to use it at your own risk.
Otherwise, DO NOT install it.
As such, this PERL PROGRAM is provided on an "as is" basis, and the licensee accepts
it with that understanding. Should the Program be found defective, the licensee
and not MembersAssistant assumes the entire cost of service and repair.
In addition, the security mechanisms implemented in this program have inherent
limitations. Nothing is 100% secure on the WWW!
To the maximum extent permitted by the laws of the state of South Dakota, the
United States of America, and international law, MembersAssistant disclaims
all warranties, either express or implied. Specifically, MembersAssistant
makes no warranty of title, no warranty against infringement, no warranty
of merchantability, and no warranty of fitness for a particular purpose.
In no event shall MembersAssistant be liable for any damages (including without
limitation, special, direct, incidental, consequential, or indirect damages for
personal injury, loss of business profits, business interruption, loss of
information, loss of data, and any other pecuniary loss) arising from the
installation or any use of this Program .
Although, no warranty or guarantee comes with this program, written or
implied, we will make every effort possible to resolve any legitimate
"error" as defined by us that might be discovered within our program.
After such error has been legitimately defined (by us) and corrected, an
upgrade notice will be posted at our site and the fix will be provided
to all users, free of charge, up to 1 year. (Users are entitled to free
normal upgrades for 1 year from the date of purchase. They may purchase
upgrades between the first and second year at 1/2 price. After the second
year, the regular price is applicable. Normal upgrades are defined as those
naturally occurring as new features are added or modifications are made apart
from "fixes" that occur due to any corrections in programming "errors.")

- If your problem with our software involves something that is not covered in our documentation
and installations instructions, we will be more than glad to assist you if it is related to exclusively to our software
and not its installation and function on your specific server and/or platform. However, and please note,
we WILL NOT teach you how to use the software or make modifications to the various aspects of it, including
template modification. This falls under the category of end-user training and we will be glad to
negotiate a fee for our training services.

- Furthermore, we reserve the exclusive right to terminate support to any user who, in our judgment, is unreasonable
or abusive, or who has problems which extend beyond the design and intent of our software.
License:
By downloading, receiving, and/or installing this Program onto any machine or
server, or by using the Program or any portion of the Program in any way,
the licensee agrees to be bound by the terms of this License Agreement.
The licensee is responsible for ensuring that the terms of the License
Agreement are upheld and the licensee is responsible for any violations of the
License Agreement whether or not the licensee authorized the infringements of
the License Agreement.
The licensee is allowed to download the Program for the sole purpose of installing
the Program on the licensee's site. The licensee may also retain 1 copy of the
distribution of this Program for backup purposes only.
The licensee may NOT install the Program on more than one server unless obtaining
additional licenses as required per installation (contact us for multiple
licenses or a single site license). The licensee may NOT distribute or
re-distribute in any way or form, in whole or in part, this Program and any of
its related contents. The licensee may NOT sell, lease, copy or reproduce this
program, nor derive any profit from it beyond what may be reasonably expected
from the option of fees charged to subscribers that employ this Program to
submit their names and userdata to such fee charged inquirer/subscriber
databases.
The copyright tag in the scripts' headers must remain intact and the requirements
for use spelled out therein must be agreed and adhered to. All copyright tags
that are programmed into MembersAssistant identifying MembersAssistant's sole copyright
ownership must not be removed from either the scripts or other files provided
with the Program. As such, all pages produced by the program readable by a
web browser must contain these copyrights as pre-programmmed. The licensee is
allowed to add his or her own custom copyright tag to those pages provided for
its inclusion if he or she so chooses.
If you just have to remove our copyright tags from all program-created HTML
pages (script source header copyright tags may not be removed regardless of
price), you may do so ONLY after paying an additional $50.00 beyond your
original purchase price.

Modifications to this program and scripts are not permitted beyond that
specified elsewhere for installation purposes. As stated in the warranty
section previously, every effort will be made by us to resolve any "error"
that may occur that is a result of the scripts' programming (an actual "bug"
in the program itself). However, if a licensee should make unauthorized
modifications to any script other than that permitted as specified elsewhere, there
will be NO support provided in any way for what may be defined by any one as
a program error or "bug". If such request is made under these circumstances,
the licensee, will be reminded of his or her legal agreement to this license
and no support will be rendered under any circumstance. Furthermore,
depending on the seriousness and degree of the licensee's violation of this
agreement, legal action against the licensee for his or her violation may
ensue. If such legal action is initiated, such licensee in violation will
be prosecuted to the full extent of the law for both damages and all such
legal and court costs incurred by us. Again, this copyright is fully protected
and governed by the laws of the state of South Dakota and the United States of
America, in addition to those applicable internationally.
If licensee is in violation of 1 or any of the above agreements, this User
License is hereby terminated forthwith. Upon such termination, all files, backups,
copies, and Program generated files and data are to be immediately deleted from former
licensee's server/site and destroyed. Failure to do so will result in legal
action. Licensee further agrees to indemnify the author/copyright holder of
this Program any and all expenses and fees arising from the extension, use, and
enforcement of this User License.
This License Agreement is governed by the laws of the State of South Dakota and
the United States of America.
